13.8 Guarantee of Return on Investment In the event that total royalties paid by the Distributor to the Supplier within the Primary Contract Period do not equal or exceed the total of membership fees paid by the Supplier to the Distributor, the Distributor agrees to pay the difference to the Supplier within thirty (30) days after the termination of this Agreement.

Syron Membership Details:

Entry Level Membership: $125.00

Includes:

a)Free artist/band promotion webpage on the syron website. Information provided by the artist/band will include:
i)150 word article about the artist/band,
ii)5 pictures of the members,
iii)Up to 5 album covers (if applicable),

b)Guaranteed distribution on Syron Clip MP3 Players,
(A maximum of 10 songs can be supplied by the artist/band for distribution on Syron MP3 players),

c)Entry members make up approximately 70% of the uploaded music,
(Each Artist/Band will receive a fair and even distribution. This means that each band will rotate through until every member has had an MP3 uploaded onto a purchased Syron MP3 Player. The distribution order will be based on joining dates and time),

d)The number of songs varies based on the memory capacity, but the maximum number of songs
uploaded per Syron MP3 Players is:
i)1 GB MP3 players includes 25 MP3's,
ii)2 GB MP3 players includes 50 MP3's and
iii)4 GB MP3 players includes 100 MP3's.

e)Royalty Payments to the artist/band.
i)The royalty amount will be based on number of mp3's downloaded onto each mp3 player,
ii)The purchaser of the Syron MP3 Player will select the music genre they like the most and the music will be uploaded evenly based on the number of artist/bands onto the Syron MP3 player prior to receiving their product,
iii)The royalties will be distributed to artists and bands on the 28th day of third month in the quarter.

Standard Level Membership: $250.00

Includes:

a)Free artist/band promotion webpage on the syron website. Information provided by the artist/band will include:
i)150 word article about the artist/band,
ii)5 pictures of the members,
iii)Up to 5 album covers (if applicable),

b)Guaranteed distribution on Syron Clip MP3 Players,
(A maximum of 20 songs can be supplied by the artist/band for distribution on Syron MP3 players),

c)Standard members make up approximately 20% of the uploaded music,
(Each Artist/Band will receive a fair and even distribution. This means that each band will rotate through until every member has had an MP3 uploaded onto a purchased Syron MP3 Player. The distribution order will be based on joining dates and time),

d)The number of songs varies based on the memory capacity, but the maximum number of songs
uploaded per Syron MP3 Players is:
i)1 GB MP3 players includes 25 MP3's,
ii)2 GB MP3 players includes 50 MP3's and

b)Guaranteed distribution on Syron Clip MP3 Players,
(A maximum of 20 songs can be supplied by the artist/band for distribution on Syron MP3 players),

c)Featured members make up approximately 10% of the uploaded music,
(Each Artist/Band will receive a fair and even distribution. This means that each band will rotate through until every member has had an MP3 uploaded onto a purchased Syron MP3 Player. The distribution order will be based on joining dates and time),

d)The number of songs varies based on the memory capacity, but the maximum number of songs
uploaded per Syron MP3 Players is:
i)1 GB MP3 players includes 25 MP3's,
ii)2 GB MP3 players includes 50 MP3's and
iii)4 GB MP3 players includes 100 MP3's.

f)Merchandise sales:
The Syron website will allow customers to purchase your shirt, cd's or other merchandise online. Syron will forward the orders via email and funds less 5% fee for admin and bank charges to the band directly to distribute the product. Please include any delivery costs, register post is the best.

g)"Syron Feature artist/band" will receive a personalised Syron Clip MP3 Player with music only from the artist/bands.
(This is added to the Merchandise area for increase sales and increased royalties. Revenue raised from the sale on Band Specific MP3 Players will be forwarded to the Featured Artist/Band and can be up to 30% of each MP3 Player sold.)

Label/Studio Membership:

Tier 1 Label/Studio (2-5 artists/bands): $500.00
Tier 2 Label/Studio (6-15 artists/bands): $1 500.00
Tier 3 Label/Studio (16-30 artists/bands): $3 000.00 Includes:

a) Studio/Label will receive a Featured Artist Membership Status which includes all the benefits, royaties, promotions and advertising for their members.

b) Each Label or Studio will be able to resell our memberships to their Artists/Bands,
i) The label or studio signs up under a tier 1 membership, with a fee of $500.00. The label or studio can resell the membership to their bands.
ii)These bands can sign up under an Entry or Standard membership only, with a maximum of 5 bands. If you sign up 5 standard memberships at $250.00 each, under this agreement you will receive all the membership fees,
of $1 250.00.)
iii)The maximum number of bands the label or studio will be able to sign under this agreement is 5 under the Tier 1 Membership, but there is no limit to the number of bands that sign under a direct agreement with Syron.
iv)If you want to sign more than 5 bands you will be required to go to the next tier, by paying the difference between tier one and tier two.
v)If you want to sell direct membership with Syron instead of under your agreement, you will receive 30% of the membership fees.

c) Royalties will be the responsibility of the record label or studio to distribute. Syron will pay the featured artist royalties to the studio or label and from there the label or studio pays the artist/band.

d) Record Label or Studio Distribution: In the example a Tier 1 Label or Studio, has both the Featured Artist Songs in the example below.
(Remembering the Labels or Studios are classified as Featured Artists and in this example the Studio or Label had 5 Standard Members under their membership.)
i)The band would be entitled to a percentage of the Royalties but this is between the Label or Studio and the Band/Artist.
ii)We would recommend paying them based on the level of membership they are entitled to.
(In this example, the Label or Studio would receive 87.5c per song but the Label or Studio can pay a minimum of a Standard Royalty to the Artist/Band, which is 61.25c. The Studio or Label would make 26.25c per song per MP3 Player.)

If the maximum number of artists/bands is not available to distribute, the combined funds are split between the artists.

Example: If there are only 10 artists under one genre, such as country, than the 10 bands will split the combined royalties.

Say in this example we sell a 4GB Syron Clip MP3 Player and there is 5 Entry, 3 Standard and 2 Featured. In this event we need to supply the minimum number of songs per Syron Clip or Mini Clip MP3 Player which is 16 songs and under this example that means 9 songs from the Entry, 5 songs from the Standard and 2 songs from the Featured artists.

Thus the royalty amounts are split, each Entry will receive a maximum of 45c per song, the Standard will receive a maximum of 63c per song and the Featured will receive a maximum of 90c per song. All of these details and payment will be made available at the end of every quarter with complete reports on sales and royalties amounts being supplied.

In the event, which hasn't happened yet, but if we have more Featured Artists than Entry and Standard Members, we will reduce the number of songs uploaded on to each MP3 player to ensure the correct amount of Royalties are paid to the correct level of Membership.
